User Agreement

User Agreement for Subscriber-Only Benefits at the Virginia Lawyers Weekly Web site

PLEASE READ THE TERMS AND CONDITIONS OF THIS AGREEMENT CAREFULLY.

1. Registration

This User Agreement is the entire agreement between you and Lawyers Weekly Inc. d/b/a Virginia Lawyers Media (VLM), the company publishing both the newspaper, Virginia Lawyers Weekly (VLW), and www.valawyersweekly.com (the Web site) relating to the Web site’s subscriber-only areas.

The Agreement governs your access to the Web site’s subscriber-only areas and use of the documents you retrieve through the Web site’s subscriber-only areas.

Access to the Web site’s subscriber-only areas is included as a benefit of your subscription to the newspaper and is for your individual use only. The subscriber-only areas include features on the Web site which require a user name and password to access as well as any e-mail services provided by VLM. Under these terms you agree not to share your username and password for the Web site. If your user name and password are used by anyone other than you, we reserve the right to terminate your access to this Web site.

By completing the registration process, you become an authorized user of the Web site’s subscriber-only areas.

If you do not agree with the terms and conditions of the User Agreement, you will not be provided access to the Web site’s subscriber-only areas. By clicking on the “I Agree” button and by using the Web site’s subscriber-only areas, you agree to be bound by the terms and conditions of this User Agreement.

2. Modifications

VLM may, at any time, amend the User Agreement and modify, enhance or delete databases, features and services available on or through The Web site’s subscriber-only areas. The amended User Agreement will be made available online and will be effective immediately upon posting by VLM. BY ACKNOWLEDGING YOUR ACCEPTANCE OF THE AMENDED USER AGREEMENT OR BY USING THE WEB SITE’S SUBSCRIBER-ONLY AREAS AFTER ANY AMENDMENT BY VLM, YOU AGREE TO BE BOUND BY THE USER AGREEMENT AS AMENDED. If at any time you disagree with the terms and conditions of the User Agreement, you may terminate your access to the Web site’s subscriber-only areas as provided in Section 7 below.

3. License

The information available on this site is copyrighted and nothing in this Agreement grants you any rights except for the limited license as follows:

You may use the documents solely in the regular course of your business, research and other related work, such as your review of the documents or the incorporation of portions of a document in your own work product. You must retain the copyright and other source-identification notices included with the documents. You may not copy or distribute the documents nor may you sell or license the documents or use the documents as a component of any commercial material. 4. Title

Except for the license granted herein, all right, title and interest in the documents and information (including all copyrights therein) are and shall continue to be the exclusive property of VLM, or other contributors of documents.

5. No Assignment

You may not assign, sublicense or otherwise transfer this User Agreement or any part of it to a third party without VLM’s prior written consent. You are responsible for all access to and use of the Web site’s subscriber-only areas by means of your user name and password, even if you did not know of or authorize such access and use. You may not share your password.

6. DISCLAIMER OF WARRANTIES AND LIMITATIONS OF LIABILITY

THE WEB SITE’S SUBSCRIBER-ONLY AREAS AND THE DOCUMENTS ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
VLM MAKES NO WARRANTIES OR REPRESENTATIONS TO YOU (i) THAT YOUR ACCESS TO THE WEB SITE’S SUBSCRIBER-ONLY AREAS OR THE DOCUMENTS WILL BE UNINTERRUPTED OR FREE OF ERROR, OR (ii) AS TO THE ACCURACY, COMPLETENESS OR CURRENCY OF THE WEB SITE’S SUBSCRIBER-ONLY AREAS OR THE DOCUMENTS. YOUR EXCLUSIVE REMEDY AND VLM’S AND/OR CONTRIBUTORS’ ENTIRE LIABILITY HEREUNDER, IF ANY, FOR ANY CLAIM(S) FOR DAMAGES AGAINST THEM, INDIVIDUALLY OR JOINTLY, WHETHER BASED IN CONTRACT OR NEGLIGENCE, SHALL BE LIMITED TO THE AMOUNT OF CHARGES PAID BY YOU TO VLM UNDER THIS USER AGREEMENT; PROVIDED, HOWEVER, THAT IN NO EVENT WILL VLM BE LIABLE FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES RELATING IN WHOLE OR IN PART TO YOUR RIGHTS HEREUNDER OF THE USE OF, OR INABILITY TO USE, THE WEB SITE’S SUBSCRIBER-ONLY AREAS OR DOCUMENTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Termination

You may terminate this Agreement and your access to the Web site’s subscriber-only areas at any time by providing notice of termination to VLM by e-mail at: editor@valawyersmedia.com or by United States mail at:

VLM may terminate the User Agreement and your access to the Web site’s subscriber-only areas at its sole arbitrary discretion. The company will give you (i) written or online notice of termination if you commit a material breach of this Agreement or if VLM determines you are ineligible to use the Web site’s subscriber-only areas. Sections 4 Title and 6 DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY shall survive any termination of this Agreement.

8. General Provisions

This User Agreement will be governed by the laws of the Commonwealth of Virginia. If any provision of the Agreement is determined by a court to be void, invalid, unenforceable or illegal, the enforceability of the other provisions of the Agreement will not be affected. Failure to enforce any provision of this User Agreement will not constitute a waiver of the right to later enforce it. You agree to provide VLM with accurate and complete information necessary to process registration for the Web site’s subscriber-only areas and to promptly notify VLM of any changes in such information. Failure to do so will constitute a material breach of this Agreement, for which VLM will have the right to terminate your access to the Web site’s subscriber-only areas under Section 7 above.
